SnaggUp – Terms and Conditions

Introduction
By accessing and using the services of SnaggUp, the user accepts these Terms and Conditions, which govern the contractual relationship with SnaggUp OÜ, a company incorporated in Estonia (www.snaggup.com). These Terms replace any prior commitment or declaration, whether written, oral, or otherwise, regarding the use of the system and the services provided.

The sections "User Guide" and "Support" available on the website contain information for guidance purposes only and do not constitute contractual obligations. SnaggUp assumes no responsibility for actions taken by users based on information obtained outside its official channels.

Invoicing and Tax Obligations

Invoices for services and products purchased through the platform will be issued exclusively by SnaggUp OÜ in Estonia, in accordance with the applicable accounting and tax regulations.
The logistics operator in Ecuador acts solely as a transport service provider and delivery agent, without authorization to market or issue invoices on behalf of the foreign entity.
The obligation to issue proof of sale and comply with local tax regulations does not apply to a valid invoice issued for legal and tax purposes by SnaggUp OÜ, which serves as supporting documentation for the transaction between the user and the parent company.
SnaggUp OÜ is not subject to the provisions of Ecuador’s Internal Revenue Service (SRI) regarding the issuance of local invoices, since the contractual relationship is established with a foreign entity.
Users are responsible for verifying and complying with any personal tax obligations that may arise from the importation or receipt of products in their country of residence.

SnaggUp OÜ reserves the right to modify these Terms and Conditions at any time. In the event of substantial changes, users will be notified at least 5 days in advance, unless a different notice period is required under applicable Estonian law.

Acceptance

By accepting the Terms and Conditions and registering with SnaggUp, the user acknowledges their responsibility for the use of the platform.

If you do not agree, you must refrain from using SnaggUp and leave the website.

Accessing and using any service offered implies full acceptance of these provisions.

Participation Conditions

The user declares that they are of legal age (minimum 18 years old) and have full legal capacity to contract and assume obligations in accordance with applicable law.
Employees of SnaggUp OÜ and their immediate family members may not participate in auctions or activities related to the platform.
Each user may register only one account linked to a personal email address. Accounts are strictly personal and non-transferable. SnaggUp may suspend or cancel accounts that show signs of duplication or transfer to third parties.
The use of unauthorized mechanisms intended to alter the normal operation of the platform is prohibited. SnaggUp reserves the right to deactivate accounts suspected of violating auctions or affecting other users through fraudulent means.
The following conduct is expressly prohibited, whether individual, coordinated, or organized between users:
- Devaluing an item.
- Artificially altering the outcome of an auction.
- Improperly benefiting one or more participants.
SnaggUp may cancel bids, void the auction, and suspend the accounts involved if conduct that violates these conditions is detected.
If a user is suspended or their account is canceled for violating these Participation Conditions, they will automatically lose the right to use any acquired or won credits. No refunds, reimbursements, or compensation will be provided for such credits or benefits obtained.

By registering and participating on the platform, the user acknowledges and fully accepts these Participation Conditions, which form part of SnaggUp’s general Terms and Conditions.

Registration / Account Rules

1. Account is strictly personal

Your account is entirely personal and cannot be transferred or shared with any third party. Registering means you agree that only you will use this account.

2. Correct information is required

At the time of registration and thereafter, you must always provide accurate, complete, and updated information. If you provide false, incomplete, or outdated information, SnaggUp may suspend or delete your account.

3. Account limits

To maintain fairness in auctions and prevent fraud, SnaggUp may limit the number of accounts per family, IP address, or device.

4. Password responsibility

You are entirely responsible for keeping your password and login details secure and secret. SnaggUp will never ask for your password outside its official login page. Any misuse is your responsibility.

5. No account transfer

Accounts cannot be transferred, gifted, or shared with any third party. Only in very special cases and at SnaggUp's discretion may this be authorized.

6. Consequences of breaking the rules

If you violate these rules, SnaggUp may suspend or delete your account. Most importantly: when your account is closed, all coins you own or have won will be immediately forfeited, and no refund or compensation will be given.

Payments

1. Currency

All transactions on the SnaggUp platform are conducted exclusively in US Dollars (USD $).

2. Payment Methods

Stripe (credit and debit cards).
PayPal.
SnaggUp reserves the right to add new payment methods or remove existing ones at any time, with timely notice to users.

3. Immediate Charge & Receipt

When you purchase coins, the funds will be charged immediately upon transaction.
Once the transaction is complete, the system will automatically generate an electronic receipt (e-receipt) and send it to your registered email. This receipt is a valid proof of payment issued by SnaggUp OÜ in Estonia.

4. Card or account must be yours

You must guarantee that any payment method (card or PayPal) you use is your own or that you have legal authorization to use it.

5. Responsibility for rejected transactions

If a transaction is rejected due to insufficient funds, bank blocks, or restrictions from the payment provider, SnaggUp is not responsible.

6. No Refund Policy

Coins, bid packages, and credits purchased on SnaggUp are entirely final and non-refundable.
Exception: If a proven technical error occurs in the transaction, SnaggUp may, at its discretion, grant a partial or full refund.
Coins that have already been used or that belong to suspended/deleted accounts will not be refunded under any circumstances.

Auctions

1. Timing & Scheduling

Auctions run daily from 18:30 (6:30 PM) to 23:45 (11:45 PM).
Items are scheduled in 15-minute rounds.
Each auction starts with a 15-minute countdown timer.

2. Timer Dynamics

Last seconds rule: When the timer reaches the last 15 seconds and a user places a bid, the timer automatically resets to 15 seconds.
If an auction does not reach its established minimum value, it will be restarted once, but this time with a shorter 7-minute timer.

3. Minimum Value

Each item has a minimum value equal to 70% of its real price.
If the item does not reach this 70% value in the first round, it will be run again for a shorter 7-minute round.
If it still does not reach the minimum value in the second round, the item will be removed from the market.
Coin refund: In this case (item removed), users who participated will receive a refund of up to 50% of the purchased coins they used in their bids.

4. Bid Increment & Coin Value

Each bid you place increases the item's price by USD $0.01 (1 cent).
Each coin is also worth USD $0.01, meaning each bid costs 1 coin (1 cent).

5. Refund of Coins

Only coins that you paid for with money can be refunded.
Coins obtained for free (promotions, watching ads, registration, daily login, or any other free method) will not be refunded under any circumstances.

Loyalty Bonuses, Chat & Gamification

1. Loyalty Bonuses

Every time you purchase 5 coin packs, you will receive a bonus of 12 extra coins.
These bonuses cannot be accumulated or transferred to anyone. They are entirely granted at SnaggUp's discretion.

2. Limited Chat

During auctions, users can only see the usernames of other participants.
The chat is strictly limited. You can only send numbers, icons, and pre-set lines such as: "hola", "buen juego", "gané", "perdí", "quién da más", "me voy", "adiós".
Any collusion, planning, or grouping between users to alter auction outcomes or artificially lower item prices is strictly prohibited.

3. Gamification and Rankings

SnaggUp may implement achievements and weekly winner rankings, where users receive virtual medals or simple recognition.
These are purely for entertainment. They carry no monetary prizes or additional legal rights.
This gamification system aims to create a healthy and competitive environment and has nothing to do with gambling or games of chance.

"Llévatelo YA" (Buy It Now)

1. What is this feature?

The "Llévatelo YA" feature allows the user to buy the product directly at a fixed price without waiting for the auction to end. This option is active only for the user who clicks on the product price during the auction.

2. Payment & Final Price

When you click on the product price, a pop-up window will open where the final price is determined as follows:

The real price of the product.
Minus (–): The value of the purchased coins you have placed on that product in the auction.
Minus (–): An extra 10% discount on the product price.

Important rules:

The user must confirm payment before the current auction ends.
Once payment is made, the product is considered sold and the auction will close immediately.
If you do not pay on time, SnaggUp may cancel the deal and you will lose the right to buy the product (and your placed bids will not be refunded).

3. Refund of Bids / Coins

Only coins you purchased with money are deducted from the final price.
Coins obtained for free (ads, registration, login, sharing, or bonuses) are not counted in the final payment and will not be refunded.
Coins purchased under an "Ultimate/Unlimited Pack" are also not eligible for this discount or refund.

4. Limitations & Responsibility

This "Llévatelo YA" feature depends on stock availability and the specific terms of each product.
SnaggUp reserves the right to modify or discontinue this feature at any time, with prior notice to users.

Shipping and Delivery

1. Delivery time

After your delivery address is confirmed, products will be shipped in approximately 21 business days.
External factors (logistics, customs, transport, holidays) may cause unexpected changes in delivery time, and SnaggUp is not directly responsible for these.

2. Address responsibility

You are entirely responsible for providing a correct and complete delivery address.
If the address is incorrect, incomplete, or not verifiable, SnaggUp is not responsible for delays, lost products, or failed delivery.

3. Loss of claim rights due to lack of contact

If the user cannot be contacted for delivery or fails to respond within 7 days, they will automatically lose the right to claim the product.
In such a case, SnaggUp is not obligated to provide a refund or compensation.

4. Reshipping costs

If the product is returned to SnaggUp because the user was not available, SnaggUp reserves the right to charge for a new shipment.
To reship the product, the user must email SnaggUp and bear the full cost of the new shipment.

5. Delivery coverage

Very important: Delivery is only available within Ecuador.
SnaggUp does not offer international shipping (outside Ecuador). Furthermore, delivery is not made to the Galápagos province—it is limited to the continental territory of Ecuador.

6. Failure to deliver on time

If delivery is delayed due to SnaggUp's fault, the user has the right to cancel the contract and receive a full refund of the amount paid for the product.

7. Substitute products

If the purchased product is unavailable, SnaggUp may offer a similar or higher-quality product as a substitute.
This change will only be made with the user's clear consent.

8. Online tracking

Tracking services may vary and are not always guaranteed, depending on the availability of logistics operators.

Monetized Testimonials

1. Submission deadline

Users can submit photos, videos, or comments of won products within a maximum of 7 days after receiving the product.
Testimonials submitted after this deadline will not receive a reward.

2. Rewards in coins and points

Photos: If you submit a clear and authentic photo of the product within 7 days of delivery, SnaggUp will give you 10 coins and 5 points. The photo must be real and unedited.
Videos: If you submit an original video showing the product along with a brief review of your experience, you will receive 20 coins and 10 points. The video must be recorded by you.
Written comments: If you submit an accurate and truthful written review of your experience, you will receive 5 coins and 2 points.

3. Consent for advertising use

When you submit a photo, video, or comment, you grant SnaggUp permission to use this material for promotion, advertising, or marketing on any digital or physical medium.
SnaggUp may edit or reproduce your content while respecting the dignity of the product image.

4. Limitations and conditions

SnaggUp reserves the right to reject any testimonial that does not meet quality or truthfulness standards, or that contains offensive/inaccurate content.
Submitting a testimonial or receiving a reward does not create any employment or extra-contractual relationship between the user and SnaggUp.

Tax, Billing and Legal Responsibilities

1. International billing

All transactions on the SnaggUp platform are legally considered to be with SnaggUp OÜ, a company registered in Estonia.
The only valid invoice for your transaction is issued by SnaggUp OÜ in accordance with Estonian tax and accounting regulations.
This invoice will be the main legal proof of the commercial relationship between the user and the company, and shall prevail over any receipt issued by a third party in Ecuador.

2. Role of the logistics operator in Ecuador

Their local partner in Ecuador acts solely as a transport, reception, and delivery service provider.
Their role does not mean they are selling you the goods or that they will issue a sales receipt to the end customer.
The local logistics operator has no direct legal or contractual liability towards the user; their job is simply to deliver the product.

3. Tax responsibilities

Since SnaggUp OÜ is a foreign company, it is not subject to the local invoice issuance regulations of Ecuador's Internal Revenue Service (SRI).
Any personal taxes applicable to importing, receiving, or using products in your country are entirely the user's responsibility.
If any additional taxes or declarations apply to the customer under Ecuadorian regulations, the full cost must be borne solely by the user.

4. Transparency and modifications

SnaggUp OÜ is committed to maintaining full transparency regarding its tax documents and international transactions.
The company reserves the right to modify these rules at any time. In the event of major changes, users will be notified at least 5 days in advance, unless Estonian law establishes a different period.

Returns and Refunds

1. Right of withdrawal

Users may exercise the right of withdrawal within 7 days of receiving the product, in accordance with the Organic Law for Consumer Defense of Ecuador.
To exercise this right, the user must notify SnaggUp in writing via email and follow the provided return instructions.

2. Return location

SnaggUp does not have any physical offices or stores in Ecuador.
Products must be returned to the logistics company whose address SnaggUp will provide when the return process is initiated.

3. Refund of digital credits / bids

Purchased digital credits (coins/bids) may be refunded within 7 days of purchase, provided they have not been used.
Coins obtained for free (ads, registration, login, sharing, or bonuses) cannot be refunded.
Coins purchased under an "Unlimited Pack" are also non-refundable.

4. Return costs

The user must bear the full shipping cost of returning the product, unless SnaggUp itself offers a specific pick-up service.
If the product is returned because the user did not receive it, SnaggUp reserves the right to charge a new shipping fee for reshipment.

Prohibition of Collusion

1. Definition and scope

Any form of collusion, coordination, or team play among users is strictly prohibited.
Any action aimed at altering auction results, manipulating item prices, or compromising the transparency of the entire process is fully forbidden.

2. Applicable penalties

In case of violation, SnaggUp may take the following strict measures:
The user's account may be temporarily suspended (blocked) for 7 to 30 days.
If the offense is severe or repeated, the account will be permanently suspended.
This action will be taken entirely at SnaggUp's discretion, based on the seriousness of the fault detected.

3. Auction cancellation

If an auction is won through collusion or fraud, it will be automatically considered canceled.
In such a case, SnaggUp reserves the right to retain the coins used in the bids and not refund any associated digital credits.

4. Legal action

To protect the platform's integrity and the rights of other honest participants, SnaggUp may also initiate legal action in Ecuador against users involved in fraud.

Product Warranty

Delivery and conformity warranty

All products sold by SnaggUp are covered by a legal warranty under Ecuadorian law, applicable to consumers residing within the country.
This warranty ensures that the purchased product is correctly delivered to you and matches what was shown or described in the auction.

1. Warranty exclusions

Warranty coverage does not apply in these situations:

Damage caused by misuse of the product (e.g., accidental breakage).
If the user fails to comply with delivery conditions (e.g., wrong address, not being present at delivery, or failing to respond within the stipulated time).
SnaggUp does not provide any extended warranty or maintenance service on any product.

2. User rights

If the product is defective upon delivery (e.g., receiving a different product or damaged goods), the user has the right to:

Free repair of the product, or
Replacement with a similar or better product at no additional cost, subject to availability.

3. Claim procedure

The user must notify SnaggUp in writing via email within 7 days of receiving the product.
After receiving the email, SnaggUp will review the provided information and determine whether the warranty applies.
If the claim is accepted, SnaggUp will proceed with the replacement or repair through its authorized logistics company.

Account Closure

1. Voluntary closure by the user

Users may close their account at any time using the options provided on the platform.
If the user cannot access those options, they may notify SnaggUp via email to request account closure.
Once requested, the account closure process will be completed automatically and permanently (irreversible), preventing the user from using the platform's services.

2. Automatic closure for non-compliance

SnaggUp may automatically suspend or close your account in these cases:

Failure to comply with the platform's Terms and Conditions.
Detection of fraud, collusion, or improper activity.
Misuse of digital credits, promotions, or platform benefits.

Suspension may be temporary (7 to 30 days) or permanent, depending on the severity of the offense.

3. Effects of account closure

Account closure means you will immediately lose access to all your digital credits (coins), accumulated points, and associated benefits. No refund will be given.
For legal, administrative, or security reasons, SnaggUp reserves the right to retain records of your activity.

Damages, Errors and Limitation of Liability / Data Protection

Part 1: Damages, Errors and Limitation of Liability

1. Limitation of warranties

SnaggUp does not guarantee a specific outcome (winning) in auctions, nor does it promise that the service will always be uninterrupted, continuous, or error-free.
The platform is used at the user's own risk. The user accepts the technical and operational limitations of digital systems.

2. Technical failures and irregular auction closure

If an auction closes incorrectly due to a technical failure, SnaggUp may reopen or restart it. In such cases, the affected users' coins (bids) are guaranteed to be refunded.
SnaggUp reserves the right to choose the most appropriate method to maintain transparency and fairness in the auction.

3. Maximum liability limit

SnaggUp's maximum legal liability to the user is limited to the value of the coins used or the price of the product purchased on the platform.
SnaggUp shall not be liable for any indirect damages, business losses, or missed opportunities resulting from the use of the platform.

Part 2: Data Protection and Privacy

1. Data collection and use

SnaggUp collects and processes users' personal data in accordance with Ecuador's e-commerce and electronic messaging laws, as well as Estonian data protection regulations.
This data is used solely for platform operations, administration, advertising, and service improvement.

2. User rights – ARCO

Users have the right to Access, Rectification, Cancellation, and Opposition (ARCO) regarding their personal data at any time.
To exercise these rights, the user must send a written request to SnaggUp via email, including the necessary identity verification details.

3. Use of cookies

SnaggUp may use cookies and similar technologies to improve user experience.
Full information on cookie usage is provided in their privacy policy, including how to deactivate them.

4. International data transfer

By using the platform, the user consents to the transfer and processing of their personal data in Estonia (SnaggUp's home country) and Ecuador (where delivery takes place).
SnaggUp guarantees that this data transfer will be conducted in compliance with security standards and the laws of both countries.

Fraud Prevention and Intellectual Property

Part 1: Fraud Prevention and Security

1. Transaction monitoring

SnaggUp continuously monitors all activities and transactions on the platform to prevent fraud, money laundering, collusion, and any improper use.
The user acknowledges that all their transactions may be reviewed and analyzed for security and regulatory compliance.

2. Blocking suspicious accounts

Accounts showing signs of fraud, auction manipulation, money laundering, or any illegal activity may be automatically blocked by SnaggUp.
This block may be temporary or permanent, depending on the severity of the detected activity.

3. Reporting to authorities

SnaggUp reserves the right to report any suspicious activity that violates e-commerce, fraud, or money laundering laws to the competent authorities in Ecuador and Estonia.
The user acknowledges and accepts that SnaggUp may share necessary information with these authorities to comply with legal and regulatory obligations.

Part 2: Intellectual Property

1. Exclusive ownership

All content available on the SnaggUp platform, including logos, brand names, text, software, images, designs, databases, and any digital/graphic material, is the exclusive property of SnaggUp.
This content is protected under Estonian intellectual property laws and Ecuadorian regulations.

2. Prohibition of unauthorized use

Without the company's explicit written consent, it is strictly forbidden to copy, distribute, modify, publicly display, or otherwise use SnaggUp's content.
The user acknowledges that any unauthorized use of this content may lead to immediate account suspension and appropriate legal action.

Promotions and Bonuses

1. Conditions of bonuses and free bids

All bonuses, promotional credits, or free bids offered by SnaggUp are subject to the specific terms and conditions set for each promotion.
These benefits or bonuses are non-refundable and cannot be exchanged for real cash. They can only be used within the platform.

2. Specific rules for promotions

SnaggUp may establish specific rules for each promotion at any time, including validity periods, usage restrictions, per-user limits, and accumulation conditions.
By participating in any promotion, the user automatically accepts its rules. These rules will be published on the platform when the promotion is launched.

3. Limitations and responsibility

If any fraud, misuse, or violation of the Terms and Conditions is detected, SnaggUp reserves the full right to modify, suspend, or cancel any promotion or bonus.
Benefits obtained from promotions do not create any permanent legal right for the user, nor do they create any additional contractual relationship between the user and SnaggUp.

Jurisdiction and Dispute Resolution

1. Applicable law

SnaggUp is a company registered in Estonia and operates virtually in Ecuador.
For proper operation and protection of consumer rights, these terms and conditions are governed by Ecuadorian legislation.

2. Competent courts

Any dispute related to the interpretation or application of these rules shall be resolved by the competent courts of Ecuador, within the jurisdiction of the user's (consumer's) domicile.
The user accepts that this jurisdiction shall be the only valid one for resolving any dispute arising from the use of the platform.

3. Complaint forums

The user may seek assistance from the Ecuadorian Consumer Protection Ombudsman (Defensoría del Consumidor de Ecuador) for administrative complaints, either before or simultaneously with any legal or court action.
SnaggUp undertakes to cooperate fully with the relevant authorities to resolve such complaints.

4. Alternative dispute resolution mechanisms

To resolve disputes more quickly and efficiently, SnaggUp may promote virtual mediation or arbitration methods, provided the user agrees.
These alternative methods do not limit the user's rights; if no agreement is reached through these methods, the user retains the full right to go to court.

International Operations and Tax Responsibility

1. Company incorporation and receipt of payments

SnaggUp is a company registered in Estonia, and all payments made by users are received and processed in that country.
All payments are made in accordance with European e-commerce and financial security regulations.

2. Virtual operation in Ecuador

SnaggUp operates virtually in Ecuador, with product delivery carried out through authorized logistics companies.
The user acknowledges that SnaggUp acts only as a digital intermediary in the entire process of purchasing and delivering goods.

3. Tax and revenue responsibility

SnaggUp fulfills its tax obligations in Estonia (where the company is registered) and complies with Ecuadorian regulations regarding e-commerce and consumer protection.
Any taxes related to transactions on the platform, including taxes on purchasing products or declaring prizes or profits, are the sole responsibility of the user.
If the user fails to pay their taxes on time, SnaggUp will not be liable for any resulting penalties, fines, or legal claims.

Anti-Money Laundering and Regulatory Compliance

1. International compliance

SnaggUp, registered in Estonia and operating virtually in Ecuador, is committed to complying with both the European Union's and Ecuador's regulations on preventing money laundering and terrorist financing.

2. Transaction monitoring

All transactions on the platform may be monitored and reviewed to detect suspicious, unusual, or out-of-limit activities.
To prove the legitimacy of a transaction, SnaggUp may request additional information or documents from the user, such as identity documents, proof of payment, etc.

3. Account blocking and reporting

Accounts showing signs of money laundering, fraud, or illegal activities may be automatically blocked.
Under international legal cooperation rules, SnaggUp reserves the full right to report such activities to the competent authorities in Estonia and Ecuador.

4. Limitation of liability

SnaggUp shall not be liable for any delays or account blocks resulting from the verification processes carried out to prevent money laundering.
The user acknowledges that delivery of products or access to benefits/credits may be suspended until the necessary verification is completed.
